Custom Sail Making Terms and Conditions
1. Definitions
In these Terms and Conditions:
- "Company" means GP Sails Ltd.
- "Customer" means the person, company, or organisation placing an order.
- "Goods" means sails, canvas work, rigging products, hardware, and any other products supplied by the Company.
- "Services" means sail measurement, consultation, installation, repairs, and related marine services.
- "Order" means any instruction from the Customer to supply Goods or Services.
2. Acceptance of Terms
By placing an Order with GP Sails Ltd, the Customer agrees to be bound by these Terms and Conditions.
No variation to these Terms shall be effective unless agreed in writing by the Company.
3. Quotations
3.1 All quotations are valid for 30 days unless otherwise stated.
3.2 Quotations are based on information supplied by the Customer and may be revised if measurements, specifications, exchange rates, supplier costs, shipping costs, or material costs change before the Order is accepted.
3.3 Quotations do not constitute a binding contract until accepted by both parties.
4. Orders and Deposits
4.1 All new sail orders are custom-manufactured products.
4.2 A deposit of 50% of the Order value is required before production commences unless otherwise agreed in writing.
4.3 Production slots and cloth orders will not be confirmed until the deposit has been received.
4.4 Orders cannot be cancelled without the Company's written agreement once production has commenced.
4.5 Deposits become non-refundable once materials have been ordered, design work has commenced, or cloth has been cut.
5. Payment Terms
5.1 The balance of the Order is due prior to dispatch, collection, or installation.
5.2 Ownership of Goods remains with GP Sails Ltd until full payment has been received.
5.3 The Company reserves the right to withhold delivery until all outstanding amounts are paid.
5.4 Late payments may incur interest at 4% above the prevailing Bank of England base rate, calculated daily.
5.5 The Customer shall be responsible for any reasonable costs incurred in recovering overdue amounts.
6. Measurements and Specifications
6.1 The Customer is responsible for providing accurate measurements and specifications where the Company has not undertaken measurement services.
6.2 The Company shall not be liable for errors resulting from incorrect information supplied by the Customer.
6.3 Where measurements are taken by the Company, the Company's liability shall be limited to correcting any proven measurement error.
7. Delivery
7.1 Delivery dates are estimates only and are not guaranteed.
7.2 The Company shall not be liable for delays caused by:
- Manufacturers;
- Material suppliers;
- Shipping providers;
- Customs processes;
- Industrial action;
- Weather events; or
- Any circumstances beyond its reasonable control.
7.3 Risk in the Goods passes to the Customer upon delivery or collection.
7.4 Any delivery shortages or damage must be reported within 48 hours of receipt.
8. Installation and Onboard Services
8.1 The Customer shall provide safe access to the vessel and working areas.
8.2 The Company reserves the right to refuse work where conditions are unsafe.
8.3 Additional charges may apply where installation requirements differ materially from those originally quoted.
9. Warranty
9.1 Any manufacturer's warranty shall apply in accordance with the manufacturer's terms.
9.2 The Company warrants that its workmanship will be carried out with reasonable care and skill.
9.3 The warranty does not cover:
- Normal wear and tear;
- UV degradation;
- Chafe;
- Storm damage;
- Misuse;
- Improper rig tuning;
- Grounding or collision damage;
- Damage caused by third parties.
9.4 Warranty claims must be submitted promptly with photographs and supporting information.
9.5 The Company's liability under any warranty shall be limited to repair, replacement, or refund at its discretion.
10. Returns
10.1 Custom-made sails and bespoke products cannot be returned unless defective.
10.2 Standard stock items may be returned within 14 days of receipt, subject to:
- Prior agreement;
- Goods being unused and in resaleable condition;
- Return carriage being paid by the Customer.
10.3 Special-order items may not be eligible for return.
11. Limitation of Liability
11.1 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability which cannot legally be excluded.
11.2 Subject to clause 11.1, the Company's total liability shall not exceed the amount paid by the Customer for the Goods or Services giving rise to the claim.
11.3 The Company shall not be liable for:
- Loss of profit;
- Loss of use of a vessel;
- Loss of charter income;
- Consequential losses;
- Indirect losses.
12. Force Majeure
The Company shall not be liable for failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to acts of God, war, strikes, pandemics, supply chain disruption, or government restrictions.
13. Intellectual Property
Designs, drawings, sail plans, specifications, and technical recommendations remain the intellectual property of GP Sails Ltd unless otherwise agreed in writing.
14. Privacy
Any personal information provided by the Customer will be processed in accordance with applicable UK data protection legislation and the Company's Privacy Policy.
15. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
